By accessing our website, contacting us, requesting a quotation, using our services, submitting information, or engaging us for any project or service, you agree to be bound by these Terms of Service. If you do not agree with these Terms, you should not use our website or services.

You agree that any enquiry, quotation request, email communication, online form submission, project confirmation, payment, account registration, system access or continued use of our services may constitute acceptance of these Terms, unless a separate written agreement signed or expressly accepted by SNLuxLab Solution states otherwise.

We may update these Terms from time to time to reflect changes in our services, business operations, legal requirements or security practices. The updated version will be posted on our website. Continued use of our website or services after the updated Terms are published means that you accept the updated Terms.

If there is a conflict between these Terms and a separate written agreement, quotation, proposal or statement of work issued by SNLuxLab Solution, the separate written agreement, quotation, proposal or statement of work shall prevail only to the extent of the conflict.

Services & Enquiries

Information displayed on our website is provided for general business and informational purposes only. It does not automatically create a binding service agreement, quotation, warranty, partnership, employment relationship or obligation to provide any service.

When you submit an enquiry, request a quotation, contact us, discuss a project or provide project requirements, we may review your request and respond with further questions, estimated scope, pricing, timeline, technical assumptions or proposed next steps. Any quotation, proposal, pricing, delivery timeline or project scope is only valid if issued or confirmed by SNLuxLab Solution in writing.

Unless otherwise agreed in writing, our services may include:

  • Software development and technical implementation.
  • Website, backend, API, database or infrastructure-related services.
  • AI, automation, chatbot, workflow and integration-related services.
  • Technical consultation, troubleshooting, support and system review.
  • Prototype, proof-of-concept, internal tool or business process automation services.
  • Hosting, deployment, maintenance or managed technical services where expressly agreed.

You are responsible for providing accurate project requirements, timely feedback, required access, authorised materials, business rules, content, credentials, approvals and any information reasonably required for us to perform the services. Delay, incomplete information, inaccurate requirements, third-party dependency issues or changes in scope may affect delivery timeline, pricing and project outcome.

Unless expressly stated otherwise in writing, estimated timelines are estimates only and are not guaranteed delivery dates. Changes requested after confirmation of scope may be treated as additional work and may require additional fees, revised timelines or a separate quotation.

We reserve the right to accept, reject, pause or discontinue any enquiry, project or service request at our discretion, especially where the request is unlawful, technically unsuitable, commercially unreasonable, outside our service capability, unsupported by required information, creates security risk or conflicts with our business or legal obligations.

Intellectual Property

All intellectual property rights in our website, brand, logo, business name, design, layout, text, graphics, software, code, documentation, templates, workflows, internal tools, systems, methods, know-how, technical processes, service structure and other materials created or owned by SNLuxLab Solution remain the property of SNLuxLab Solution or our licensors, unless expressly agreed otherwise in writing.

You may not copy, reproduce, modify, distribute, publish, sell, license, reverse engineer, exploit or create derivative works from our website, software, systems, templates, code, content or materials without our prior written permission.

Where you provide materials, content, data, files, images, prompts, business information, brand assets, project requirements or other input to us, you confirm that you own or have the necessary rights, licences, permissions and authority to provide such materials to us for the purpose of performing the requested services.

Unless otherwise agreed in writing, you retain ownership of your pre-existing materials and business content. SNLuxLab Solution retains ownership of our pre-existing tools, reusable code, internal libraries, frameworks, technical methods, templates, general know-how and any improvements or reusable components developed independently of your specific confidential materials.

Ownership of custom deliverables, source code, designs, configurations, generated assets or project outputs will depend on the relevant quotation, proposal, invoice, service agreement or written arrangement between you and SNLuxLab Solution. Where no specific written transfer of intellectual property is agreed, no ownership transfer is implied.

We may use general knowledge, experience, skills, ideas, methods, technical learning and non-confidential know-how gained from providing services, provided that we do not disclose your confidential information or misuse your protected materials.

Disclaimers

Our website and services are provided on an “as is” and “as available” basis unless expressly stated otherwise in writing. While we aim to provide reliable, secure and professional services, we do not guarantee that the website or services will always be uninterrupted, error-free, fully secure, compatible with every system, free from defects, or suitable for every specific business purpose.

To the maximum extent permitted by law, SNLuxLab Solution does not make any implied warranties, representations or guarantees regarding merchantability, fitness for a particular purpose, non-infringement, uninterrupted availability, accuracy of information, system compatibility, commercial outcome, business performance, ranking result, AI output accuracy or financial result.

You acknowledge that software, AI systems, automation tools, third-party APIs, hosting platforms, cloud services, payment systems, internet networks, browsers, devices and external integrations may contain limitations, errors, downtime, compatibility issues, rate limits, policy restrictions or changes outside our control.

Where our services involve AI-generated content, automation, image generation, chatbot responses, data processing, system recommendations or technical suggestions, such outputs may be inaccurate, incomplete, unsuitable or require human review. You are responsible for reviewing, verifying and approving outputs before relying on them for business, legal, financial, medical, safety-critical or public-facing use.

Any information on our website is provided for general reference only and should not be treated as legal, financial, tax, medical, engineering, cybersecurity certification or professional advice unless expressly agreed in a separate written engagement with qualified professionals.

Limitation of Liability

To the maximum extent permitted by applicable law, SNLuxLab Solution shall not be liable for any indirect, incidental, special, consequential, exemplary or punitive loss or damage, including loss of profit, loss of revenue, loss of business opportunity, loss of data, loss of goodwill, service interruption, system downtime, security incident caused by third-party systems, failed integration, third-party platform change, or reliance on AI-generated or automated output.

Our total liability for any claim arising from or relating to the website, services, project, quotation, proposal, agreement or these Terms shall be limited to the amount actually paid by you to SNLuxLab Solution for the specific service giving rise to the claim, unless a different liability limit is expressly agreed in writing or such limitation is not permitted by law.

We are not responsible for delays, failures, losses or damages caused by events outside our reasonable control, including internet failure, hosting outage, cloud provider issue, third-party API failure, payment provider issue, cybersecurity attack, device failure, power interruption, natural disaster, government action, legal restriction, labour disruption, platform policy change, force majeure event or your failure to provide required access, information, approval or payment.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including liability for fraud, wilful misconduct or any liability that Malaysian law does not allow to be excluded.

You agree to indemnify and hold SNLuxLab Solution harmless from claims, losses, damages, liabilities, costs and expenses arising from your misuse of our website or services, breach of these Terms, unlawful use of our services, infringement of third-party rights, unauthorised submission of data or materials, or failure to obtain required consent, permission or authority.

Governing Law (Malaysia)

These Terms of Service shall be governed by and interpreted in accordance with the laws of Malaysia, without regard to conflict of law principles.

Any dispute, claim or disagreement arising from or relating to these Terms, our website, services, quotation, proposal, project, invoice or business relationship shall first be addressed through good-faith discussion between the parties. Each party agrees to make reasonable efforts to resolve the matter amicably before commencing formal proceedings.

If the dispute cannot be resolved through discussion, the parties agree to submit to the courts of Malaysia, unless a separate written agreement between the parties provides for another dispute resolution process, jurisdiction or venue.

The failure of SNLuxLab Solution to enforce any right or provision under these Terms shall not be treated as a waiver of that right or provision. If any provision of these Terms is found to be invalid, unlawful or unenforceable, the remaining provisions shall continue to apply to the fullest extent permitted by law.
